These General Terms and Conditions (“Terms”) govern the sale of products and services by Noble Gift Packaging (“we,” “us,” or “our”) to you (“Customer” or “you”). By placing an order with us, you agree to be bound by these Terms. These Terms supersede any prior or contemporaneous communications, agreements, or representations.
1. Orders and Acceptance
1.1 Order Placement
Orders can be placed through our website, by email, or by phone. An order is considered accepted when you receive a confirmation email from us indicating that we have received and processed your order.
1.2 Order Modifications
Once an order is confirmed, changes or modifications may not be accepted unless agreed upon in writing by both parties. Custom orders and bespoke products are non-returnable and non-refundable.
2. Pricing and Payment Terms
2.1 Pricing
All prices are quoted in £GBP or $USD and exclude VAT, shipping fees, delivery charges and other applicable taxes unless otherwise stated. Prices are subject to change without notice; however, the price at the time of your order confirmation will apply.
2.2 Payment Terms
- Deposit: A 50% deposit is required at the time of order confirmation.
- Balance: The remaining 50% balance is due upon completion of production and prior to shipping.
- Payment Methods: We accept payments by bank transfer or credit card. All payments must be made in full before the product is shipped.
2.3 Late Payments
If the balance is not paid when due, we reserve the right to delay production or shipping until payment is received. Any overdue amounts may incur a late fee of 20% per month or the maximum allowed by law.
3. Delivery and Shipping
3.1 Shipping Terms
Shipping charges are not included in the product price and will be calculated based on the shipping destination, weight, and size of the items. Shipping will be arranged after full payment of the balance has been received.
3.2 Delivery Time
Estimated delivery times are provided at the time of order but are not guaranteed. Noble Gift Packaging is not liable for any delays in shipping caused by circumstances outside our control, such as carrier delays, customs, or other unforeseen events.
3.3 Risk of Loss
Risk of loss or damage to the products passes to the Customer when the items are handed over to the shipping carrier.
3.4 Customs and Duties
For international orders, the Customer is responsible for any customs duties, taxes, and import fees that may apply.
4. Product Specifications and Customisation
4.1 Custom Orders
We specialise in custom-designed gift packaging, display cabinets, and jewellery displays. Once the design is finalised and the deposit is paid, we will proceed with production. Changes to custom designs after production begins may incur additional costs.
4.2 Product Variations
Due to the nature of manufacturing, slight variations in colour, size, and design may occur. We make every effort to ensure consistency but cannot guarantee exact matches to samples.
4.3 Approval of Designs
For custom orders, a design proof will be provided for your approval before production begins. The approval process is the Customer’s responsibility, and any delays in approving the design may affect the production schedule.
5. Returns and Refunds
5.1 Defective Products
If any products are defective or damaged upon receipt, you must notify us within 7 days of delivery. We will either replace the defective products or offer a refund, at our discretion.
5.2 Non-Defective Products
Custom orders, including bespoke packaging, display cabinets, and jewellery displays, are non-returnable and non-refundable. For standard stock items, returns may be accepted subject to our prior written approval, and any returns must be made within 7 days of delivery.
5.3 Restocking Fees
If returns are approved for non-defective items, a restocking fee of 25% of the total order value may apply.
6. Intellectual Property
6.1 Design Ownership
All custom designs and artwork created by us remain the intellectual property of Noble Gift Packaging unless otherwise agreed. You may not use any of our designs or trademarks without prior written permission.
6.2 Customer Materials
If you provide any logos, artwork, or other materials for custom packaging or displays, you confirm that you have the necessary rights to use those materials and grant us a license to use them for the purpose of fulfilling your order.
7. Limitation of Liability
7.1 Limitation of Liability
To the fullest extent permitted by law, Noble Gift Packaging’s liability for any claim arising out of or related to the sale of products will be limited to the total amount paid by the Customer for the affected product(s).
7.2 Indirect Damages
We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, revenue, or business opportunities, even if we have been advised of the possibility of such damages.
8. Force Majeure
We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including, but not limited to, acts of God, fire, flood, war, terrorism, strikes, shortages, or other labour disputes, transportation delays, or government actions.
9. Governing Law and Dispute Resolution
9.1 Governing Law
These Terms will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
9.2 Dispute Resolution
Any disputes arising under or in connection with these Terms will be resolved through negotiation in good faith. If a resolution cannot be reached, disputes will be submitted to mediation or arbitration in London, England, as agreed by both parties.
10. Changes to Terms and Conditions
We reserve the right to amend or update these Terms at any time. Any changes will be posted on our website with the updated effective date. You are encouraged to review these Terms periodically to stay informed of any updates.
